As a Corporate Paralegal, you will play a crucial role in the corporate housekeeping of SD Worx subsidiaries in primarily Italy but also others across Europe. You will also be supporting SD Worx’s M&A team in merger and acquisitions activities and other strategic corporate projects throughout Europe.
This role requires a proactive, initiative-driven individual who can critically assess situations, ask the right questions, and confidently contribute to meetings. You will become part of a dynamic, multinational legal team. The current corporate legal team works from Belgium (HQ), Ireland, France, Germany, Spain, Sweden, Poland, Mauritius and United Kingdom and consists of 25 legal counsels in different expert areas.

Which key responsibilities will you have?
The corporate housekeeping of the SD Worx group companies, including the preparations and follow-up of:
Annual (and other) general meetings, meetings of board of directors, etc.
Restructurings (liquidations, mergers, transfers, etc.)
Changes in composition of board of directors
Management of specific proxies | signature authority
Maintaining the shareholders’ registers
Maintaining the corporate housekeeping document management tool (“corporify”)
Preparing and fulfilling legal formalities (e.g. register of legal entities, publication requirements, UBO requirements, KYC questions, various legal formalities (legalisation, apostille, etc.))
Draft, follow-up and maintain the SD Worx intercompany agreements, together with finance colleagues
Assisting the M&A team with the necessary information, documents, etc.
Acting as an ambassador for external parties as notaries, law firm, statutory auditors, etc.
Contribute to the development and implementation of templates, legal processes and best practices
Contribute to the continuous improvement of the legal department
What do you need for this role?
You hold a bachelor’s degree in law, degree in paralegal studies or equivalent through experience
You have at least 3 years of experience in a similar position in a large company, law firm or consultancy firm
Effective communication skills in English and Italian (orally and in writing). Sound knowledge of another language for application in deals across Europe is considered to be a plus
Proficient with Microsoft Office and strong interest in legal tech/innovation in your field
Attention to detail and ability to manage multiple tasks simultaneously
Organizational skills that allow you to plan and prioritize projects
Proactive approach to problem-solving and a commitment to delivering high-quality work. Hands-on and can-do mentality
Be a team player, yet able to work autonomously
High level of integrity, professionalism, intellectual curiosity and willingness to grow
Be open to occasional travel within Europe
